Subject: Constitution Amendment
BE IT RESOLVED THAT the Mushkegowuk Tribal Council Constitution be amended to include the following paragraphs:
The directors may participate in a meeting of the Board or of a Committee of the Board by means of telephone conference call or other communications facilities to permit all participants to hear each other. This manner of holding a meeting is valid only if all of the directors consent to it. A director participating in a meeting by such means is deemed to be present at the meeting.
For meetings held prior to the approval of this by-law in which directors participated by means of conference telephone call or other communications facilities, all directors at those meetings are hereby deemed to have consented to holding the meetings by such means.
